Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Heterodox LLC ("Pixsie," "we," "us," or "our") and govern your use of pixsie.app and the related services (the "Service"). Please read them carefully.
By creating an account, scanning an event QR code, uploading or viewing content, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- Host means a user who creates an event, pays the event fee, and invites others to it.
- Guest means a user who accesses an event, typically by scanning a QR code, to upload, view, or download media.
- Event means an instance of the Service set up by a Host.
- Content means photos, videos, captions, and other material uploaded to or shared through the Service.
2. Eligibility
You must be at least 18 years old to create an account or upload Content. By using the Service, you represent that you meet this requirement and that the information you provide is accurate.
3. Accounts
Hosts must create an account to use the Service. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at [support@pixsie.app] if you believe your account has been compromised. Guests may access an event without an account where the Host allows it.
4. The Service and your license to use it
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or event-related purposes. We may modify, suspend, or discontinue any part of the Service at any time.
5. Fees, payment, and refunds
Pixsie charges a one-time fee per event. The fee and what it includes are shown at the time of purchase. Payment is processed by our third-party payment processor, and you agree to the processor's terms when you pay. All fees are stated in [USD] and are exclusive of any taxes, which are your responsibility where applicable.
Refunds. Because an event is provisioned for your use as soon as it is created, fees are generally non-refundable once an event is activated. If the Service fails to function materially as described for your event, contact us at [support@pixsie.app] within [7] days and we will review your situation and, at our discretion, provide a repair, credit, or refund. Nothing in this section limits rights you may have under mandatory consumer protection laws.
6. Your Content
You own your Content. Hosts and Guests retain ownership of the Content they upload.
License to us. You grant Pixsie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your Content solely as needed to operate and provide the Service to you and to the other users of your Event. This license ends when the Content is deleted from the Service, except for residual copies that may remain briefly in backups.
Your responsibilities. You represent and warrant that:
- You own or have the necessary rights to the Content you upload.
- Your Content, and our use of it as permitted here, does not violate any law or infringe or misappropriate anyone's rights, including privacy, publicity, and intellectual property rights.
- You have obtained any consent required from people who appear in your Content under applicable law.
The Host is responsible for the Content collected at their Event and for ensuring its collection and sharing are lawful.
7. Acceptable use
You agree not to:
- Upload Content that is unlawful, infringing, defamatory, obscene, sexually exploitative, or that depicts minors in a sexual or abusive manner.
- Upload Content that violates the privacy or publicity rights of others or that you do not have the right to share.
- Upload viruses, malware, or anything designed to disrupt or damage the Service.
- Attempt to gain unauthorized access to the Service, other accounts, or any event you were not invited to.
- Use the Service to harass, threaten, or harm others.
- Scrape, reverse engineer, resell, or commercially exploit the Service except as expressly permitted.
- Use the Service in violation of any applicable law.
We may remove Content, suspend or terminate accounts, and restrict access to events that we reasonably believe violate these Terms, with or without notice.
8. Copyright and DMCA takedown
We respect intellectual property rights and respond to clear notices of alleged infringement under the Digital Millennium Copyright Act.
If you believe Content on the Service infringes your copyright, send a written notice to our designated agent that includes: your signature (physical or electronic); identification of the work claimed to be infringed; identification of the infringing material and where it is located on the Service; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf.

We may remove or disable allegedly infringing Content and will terminate, in appropriate circumstances, the accounts of repeat infringers. If your Content was removed and you believe it was a mistake, you may submit a counter-notice with the information required by the DMCA.
9. Content removal and event expiry
Events and their Content are retained for a limited period and then deleted, as described in our Privacy Policy. Hosts can request earlier deletion. You are responsible for downloading and keeping your own copies of Content you wish to retain before an event expires. We are not responsible for Content lost after deletion.
10. Privacy
Our handling of personal information is described in our [Privacy Policy], which is incorporated into these Terms by reference.
11. Third-party services
The Service relies on third-party providers, including payment processing and cloud hosting. We are not responsible for the acts or omissions of third parties, and your use of their services may be subject to their own terms.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL NOT BE LOST.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PIXSIE AND HETERODOX LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless Pixsie and Heterodox LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
15. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, and governing law.
16. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in [Suffolk County], New York will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to personal jurisdiction there. Before filing any claim, you agree to first contact us at [support@pixsie.app] and attempt to resolve the dispute informally for at least 30 days.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
18. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
